Le package acquis par l'acheteur
contient le programme informatique susmentionné sur un support lisible par
machine ou en ligne sous forme de téléchargement, ainsi qu'un manuel
d'utilisation correspondant. Le programme et le manuel d'utilisation sont protégés
par les droits d'auteur.
En achetant le package du
programme, le titulaire des droits accorde à l'acheteur le droit d'utiliser le
programme selon les conditions d'utilisation indiquées dans le présent
document. Toute autre utilisation ou exploitation est exclue.
Si l'acheteur acquiert en même
temps un ordinateur sur lequel le programme susmentionné est préinstallé, les
conditions d'utilisation s'appliquent par analogie à la copie préinstallée du
programme.
Si l'acheteur n'est pas d'accord
avec les conditions d'utilisation indiquées dans les présentes, il peut
retourner le progiciel au vendeur contre remboursement intégral du montant
d'achat payé.
§ 1
Étendue de l'utilisation
(1)
L'acheteur a le droit d'utiliser le programme sur un seul ordinateur à la fois.
L'acheteur est libre de choisir l'ordinateur sur lequel il souhaite utiliser le
programme. Par utilisation du programme, on entend toute reproduction (copie)
permanente ou temporaire, totale ou partielle, du programme par enregistrement,
chargement, exécution ou affichage en vue de l'exécution du programme et du
traitement par l'ordinateur des données contenues dans le programme. L'acheteur
est également autorisé à effectuer les actions susmentionnées à des fins
d'observation et d'examen ainsi que de test du programme. Toute reproduction du
manuel d'utilisation est exclue.
(2) Il est INTERDIT
de modifier ou d'éditer le programme, sauf si cela s'avère nécessaire
pour l'utiliser conformément à sa destination, pour le relier à d'autres
programmes et pour corriger des erreurs. Les noms de sociétés, les marques
déposées, les mentions de copyright et autres mentions de réserves de droits
contenus dans le programme ne doivent pas être modifiés et doivent être repris
dans les versions modifiées ou éditées du programme.
(3) Une rétro-traduction du code
du programme (décompilation) n'est autorisée que dans les limites légales
conformément à l'article 69 e UrhG. Toute traduction inverse plus poussée est
exclue.
(4) L'acheteur a le droit de
faire une copie de sauvegarde du programme si cela est nécessaire pour assurer
l'utilisation future du programme. Dans la mesure où le programme est doté
d'une protection technique contre la copie, le client reçoit, en cas de
détérioration du programme livré, une copie de remplacement de la part du
vendeur contre restitution du support lisible par machine livré dans le cadre
du paquet de programmes.
§ 2
Transmission du progiciel
(1)
L'acheteur est autorisé à céder le progiciel dans son état d'origine et dans
son intégralité, ainsi qu'une copie du présent contrat, à un utilisateur
ultérieur. Ce droit ne s'étend pas à la transmission de copies ou de copies
partielles du programme, ni à la transmission des versions modifiées ou éditées
ou des copies ou copies partielles réalisées à partir de celles-ci.
(2) Avec la remise du progiciel,
l'autorisation d'utilisation conformément au § 1 est transférée à l'utilisateur
suivant, qui prend ainsi la place de l'acheteur au sens du présent contrat. En
même temps, le droit d'utilisation de l'acheteur selon le § 1 s'éteint.
(3) Lors de la transmission,
l'acheteur doit immédiatement et intégralement effacer ou détruire d'une autre
manière toutes les copies et copies partielles du programme ainsi que les
versions modifiées ou éditées et les copies et copies partielles réalisées à
partir de celles-ci. Cela vaut également pour toutes les copies de sauvegarde.
(4) Les paragraphes (1) à (3)
s'appliquent également lorsque la cession consiste en une mise à disposition
temporaire. La location du progiciel ou d'une partie de celui-ci est exclue.
§ 3
Transmission par les utilisateurs suivants
En cas de
transmission du progiciel par l'utilisateur concerné à un utilisateur suivant,
ce dernier se substitue à l'utilisateur précédent. Le § 2 s'applique par
analogie.
§ 4
Autres droits
(1) Tous
les autres droits d'utilisation et d'exploitation du progiciel sont réservés.
En particulier, ni l'acheteur ni les utilisateurs ultérieurs n'ont le droit
d'utiliser le programme et/ou des versions modifiées ou éditées de celui-ci
simultanément sur plus d'un ordinateur ou de diffuser des copies du progiciel
dans sa version originale ou dans des versions modifiées ou éditées, même si de
telles copies se limitent à des parties essentielles des versions modifiées. Il
n'est pas dérogé aux droits d'exploitation de l'acheteur sur ses propres
programmes, qui sont développés ou exploités en utilisant le programme désigné
ci-dessus conformément à sa destination, et sur tous les autres résultats de
travail obtenus par l'utilisation du programme.
(2) Après la disponibilité d'une
nouvelle version du programme, l'acheteur a le droit d'échanger le progiciel
contre un progiciel correspondant de la nouvelle version à un prix de mise à
jour indiqué par le vendeur dans la liste. L'échange porte sur le progiciel
dans son ensemble, tel qu'il a été acheté par l'acheteur. Le jour de l'échange,
le droit de l'acheteur à l'utilisation selon le § 1 expire. L'obligation de
suppression et de destruction selon le § 2 (3) s'applique par analogie.
§ 5
Garantie
(1) Il
est rappelé qu'il n'est pas possible de développer des programmes informatiques
de manière à ce qu'ils soient exempts d'erreurs dans toutes les conditions
d'utilisation. Le vendeur garantit que le programme est utilisable au sens de
la description du programme qu'il a publiée et qui est valable au moment de la
livraison à l'acheteur et qu'il présente les caractéristiques qui y sont
garanties. Une diminution insignifiante de l'utilité n'est pas prise en
considération.
(2) Le vendeur garantit que le
programme original est correctement enregistré sur un support de données
vérifié. Les programmes préinstallés sont exclus de cette disposition.
(3) Si un ensemble de programmes
s'avère inutilisable au sens de l'alinéa (1) ou défectueux au sens de l'alinéa
(2), le vendeur reprend l'ensemble de programmes livré et l'échange contre un
nouvel ensemble de programmes du même titre dans un délai de garantie de six
mois qui commence à la livraison de l'ensemble de programmes à l'acheteur. Si
celui-ci s'avère également inutilisable au sens de l'alinéa (1) ou défectueux
au sens de l'alinéa (2) et si le titulaire des droits ne parvient pas à
rétablir l'utilité avec des efforts raisonnables et dans un délai raisonnable,
l'acheteur ou l'utilisateur a le droit de choisir entre une réduction du prix
d'achat ou la restitution du progiciel et le remboursement du prix d'achat. Le
§ 2 alinéas (2) et (3) s'applique par analogie.
(4) Il n'existe pas d'obligation
de garantie plus étendue. En particulier, il n'existe aucune garantie que le
progiciel réponde aux exigences spécifiques de l'acheteur ou de l'utilisateur.
L'acheteur est seul responsable du choix, de l'installation et de l'utilisation
ainsi que des résultats escomptés. Il n'existe en outre aucune garantie pour
les versions du programme modifiées ou éditées conformément au § 1, alinéa (2),
dans la mesure où il n'est pas prouvé que les défauts existants n'ont aucun
rapport avec les modifications ou les éditions.
§ 6 Responsabilité
(1. Le
vendeur et le titulaire des droits sont responsables, indépendamment du
fondement juridique, des dommages causés par la violation fautive d'une
obligation contractuelle essentielle qui leur est imputable et qui compromet la
réalisation de l'objectif du contrat. La responsabilité est limitée aux
dommages typiques du contrat auxquels le titulaire du marché devait s'attendre
lors de la conclusion du contrat sur la base des circonstances dont il avait
connaissance à ce moment-là. Toutefois, la responsabilité n'excède en aucun cas
le montant du prix d'achat. Toute responsabilité pour manque à gagner, absence
d'économies, dommages indirects et dommages consécutifs est exclue.
(2) Les
limitations de responsabilité mentionnées au paragraphe (1) ne s'appliquent pas
aux dommages résultant d'une faute intentionnelle, d'une négligence grave ou de
l'absence de caractéristiques garanties, ni aux éventuels droits découlant de
la loi sur la responsabilité du fait des produits.
§ 7 Lieu
d'exécution et tribunal compétent
(1) Le
lieu d'exécution pour les prestations du vendeur est Fribourg-en-Brisgau.
(2) Le tribunal compétent pour
tous les litiges découlant de ce contrat ou en relation avec celui-ci est
Fribourg i.Br.
§ 8 Choix
de la loi
Le droit
de la République fédérale d'Allemagne s'applique aux droits découlant du
contrat ou en rapport avec l'exécution du contrat.
§ 9
Dispositions finales
(1) Les
modifications, les compléments et les accords annexes nécessitent la forme
écrite.
(2) La
validité de l'ensemble du contrat n'est pas affectée par la nullité de
certaines dispositions. La disposition invalide est remplacée par une
disposition de substitution qui se rapproche le plus possible de l'objectif
visé par la disposition invalide.
Annexe 1 - Conditions
d'utilisation de netScope® Cloud
Généralités
Basé sur la technologie netScope®
, Net-Base Software GmbH met à disposition un service web composé d'un stockage
en ligne sur le cloud et d'un WebViewer. En complément des dispositions
ci-dessus, s'applique
§1 Objectif
Net-Base Software GmbH (ci-après
l'exploitant) propose ce service exclusivement pour l'utilisation
(téléchargement, visualisation, partage) de diapositives microscopiques.
L'utilisation de la mémoire cloud à d'autres fins, notamment mais pas
exclusivement pour le téléchargement ou le partage de contenus injurieux,
diffamatoires, anticonstitutionnels, racistes, sexistes, faisant l'apologie de
la violence ou pornographiques, est interdite. L'utilisateur est seul
responsable des contenus téléchargés.
§2 Traitement des contenus non
autorisés
Le WebViewer netScope®
proposé dispose d'une fonction permettant de signaler à l'exploitant les
contenus non autorisés d'autres utilisateurs. Dès que l'opérateur a
connaissance de contenus non autorisés, il les supprime sans autre
avertissement. S'il s'agit de contenus clairement illégaux, les données en
question, y compris les métadonnées correspondantes (utilisateur, heure,
adresse IP), sont enregistrées à des fins de preuve et transmises aux autorités
de poursuite pénale compétentes. Dans ce cas, l'utilisateur concerné sera
informé par l'exploitant, dans la mesure où aucune autre obligation légale ne
s'y oppose.
§3 Durée de conservation
Les slides téléchargés sur le
netScope® Cloud sont conservés tant que l'utilisateur dispose d'une
licence d'utilisation valide. Une fois la licence expirée, les slides sont automatiquement
supprimés par l'opérateur après une période de 14 jours. La licence
d'utilisation expire si l'utilisateur ne prolonge pas le forfait netScope®
Cloud qu'il a réservé ou s'il ne remplit pas ses obligations de paiement.
§4 Visibilité des slides
Les diapositives du dossier privé
ne peuvent en principe être vues, ouvertes et modifiées que par cet
utilisateur.
Les utilisateurs disposant de
n'importe quelle licence netScope® Cloud peuvent rendre les diapositives
visibles au public en les reliant dans la zone publique. Elles sont alors
publiques et peuvent être vues et ouvertes par toutes les personnes, même les
utilisateurs non enregistrés, via le lien https://public.netscope.de. Ceci ne
peut être annulé qu'en supprimant le fichier dans son propre dossier.
Les utilisateurs disposant d'une
licence netScope® Cloud Premium ou netScope® Cloud Business valide ont en outre
la possibilité de rendre les diapositives ou les dossiers de leur dossier
personnel personnellement accessibles à tout autre utilisateur disposant d'une
licence netScope® Cloud valide.
§5 Étendue des fonctions
L'étendue des fonctions respectives est déterminée par la
description de chaque package netScope® Cloud.
§6 Disponibilité
Les slides se trouvent sur des
serveurs dans un centre de calcul à Freiburg i.B. D'importantes mesures de
protection contre les pannes, les interruptions et les pertes de données sont
en vigueur. L'exploitant ne peut toutefois pas garantir une disponibilité à
100%. Toute responsabilité en cas d'indisponibilité de netScope®
Cloud est expressément exclue.
§7 Utilisation des données
L'exploitant garantit qu'il n'utilisera
ni les données des utilisateurs, ni les slides téléchargés à des fins
personnelles.
§8 Blocage de l'accès et effacement des
données
(1) L'exploitant se réserve le
droit de bloquer les utilisateurs et de supprimer les contenus téléchargés par
l'utilisateur en cas de violation des présentes conditions d'utilisation.
(2) La variante netScope Cloud
Free sert à découvrir l'application et à tester les fonctions disponibles en
toute tranquillité. Une utilisation durable de la variante Free (par exemple
par l'utilisation d'adresses e-mail différentes) n'est pas prévue et peut
entraîner un blocage et une suppression si elle est découverte.
Annexe 2 : Accord sur la protection des données
Généralités
Si l'utilisation
de netScope® Cloud implique le traitement de données à caractère personnel
au sens de l'article 4 (8) du RGPD, les règles suivantes s'appliquent au sens
de l'article 28 du RGPD. C'est par exemple le cas lorsqu'il est possible
d'établir un lien avec une personne physique par le biais des slides
téléchargés.
Dans ce cas, le preneur de
licence devient responsable au sens de l'article 4 (7) RGPD (ci-après le
donneur d'ordre). L'exploitant devient dans ce cas un sous-traitant (ci-après
le preneur d'ordre).
Remarque importante
netScope® Cloud n'est
pas adapté au téléchargement de slides médicaux avec référence personnelle
(catégories particulières de données personnelles au sens de l'art. 9 (1)
RGPD).
§ 1 Objet
L'objet est l'hébergement de
diapositives numérisées par l'exploitant et leur utilisation par les
utilisateurs autorisés. Dans ce contexte, il ne peut être exclu que
l'exploitant prenne connaissance des données personnelles téléchargées par
l'utilisateur.
§ 2
Droits et obligations du donneur d'ordre
(1) Le donneur d'ordre est
responsable au sens de l'article 4, point 7, du RGPD du traitement des données
par le preneur d'ordre. Conformément au point 4, alinéa 3, le preneur d'ordre a le droit
d'informer le donneur d'ordre si un traitement de données qu'il juge illégal
fait l'objet de la commande et/ou d'une instruction.
(2) En tant que responsable, le
client est chargé de veiller au respect des droits des personnes concernées. Le
contractant informera immédiatement le client si des personnes concernées font
valoir leurs droits de personnes concernées auprès du contractant.
(3) Le donneur d'ordre a le droit
de donner à tout moment des instructions complémentaires au preneur d'ordre
concernant la nature, l'étendue et la procédure du traitement des données. Les
instructions doivent être données sous forme de texte (par ex. e-mail).
(4) Il n'est pas dérogé aux
dispositions relatives à une éventuelle rémunération des dépenses
supplémentaires occasionnées au preneur d'ordre par des instructions
complémentaires du donneur d'ordre.
(5) L'autorité
contractante peut désigner des personnes habilitées à donner des instructions.
Si des personnes habilitées à donner des instructions doivent être désignées,
elles le sont dans l'annexe 1. Si les personnes habilitées à donner des
instructions au client changent, le client en informera le fournisseur par
écrit.
(6. Le donneur d'ordre
informe immédiatement le preneur d'ordre s'il constate des erreurs ou des
irrégularités en rapport avec le traitement des données à caractère personnel
par le preneur d'ordre.
(7) Dans le cas où il existe une
obligation d'information vis-à-vis de tiers en vertu des articles 33, 34 du
RGPD ou d'une autre obligation légale de notification applicable au client, le
client est responsable du respect de cette obligation.
§ 3 Obligations générales du
contractant
(1) Le preneur d'ordre traite les
données à caractère personnel exclusivement dans le cadre des accords conclus
et/ou dans le respect des instructions complémentaires éventuellement données
par le donneur d'ordre. Font exception à cette règle les dispositions légales
qui, le cas échéant, obligent le preneur d'ordre à traiter les données d'une
autre manière. Dans un tel cas, le preneur d'ordre communique ces exigences légales
au donneur d'ordre avant le traitement, à moins que le droit concerné
n'interdise une telle communication en raison d'un intérêt public important. La
finalité, le type et l'étendue du traitement des données sont sinon
exclusivement régis par le présent contrat et/ou les instructions du donneur
d'ordre. Tout traitement de données dérogeant à ces dispositions est interdit
au preneur d'ordre, sauf si le donneur d'ordre y a consenti par écrit.
(2) Le sous-traitant effectuera
en principe le traitement des données sur commande dans les États membres de
l'Union européenne (UE) ou de l'Espace économique européen (EEE). Le
sous-traitant est également autorisé à traiter des données en dehors de l'UE ou
de l'EEE si des sous-traitants correspondants sont engagés dans le pays tiers
en respectant les conditions du point 9 et si les conditions des articles 44 à
48 du RGPD sont remplies ou si une exception au sens de l'article 49 du RGPD
existe.
(3) Le preneur d'ordre informera
immédiatement le donneur d'ordre s'il estime qu'une instruction donnée par le
donneur d'ordre enfreint des dispositions légales. Le preneur d'ordre est en
droit de suspendre l'exécution de l'instruction en question jusqu'à ce qu'elle
soit confirmée ou modifiée par le donneur d'ordre. Si le sous-traitant peut
démontrer qu'un traitement effectué selon les instructions du client peut
entraîner la responsabilité du sous-traitant en vertu de l'article 82 du RGPD,
le sous-traitant est en droit de suspendre la poursuite du traitement dans
cette mesure jusqu'à ce que la responsabilité soit clarifiée entre les parties.
(4) Le contractant peut désigner
au pouvoir adjudicateur la ou les personnes habilitées à recevoir des
instructions du pouvoir adjudicateur. Si des personnes
habilitées à recevoir des instructions doivent être désignées, elles le seront
dans l'annexe 1. En cas de changement de personnes habilitées à recevoir des
instructions au sein du preneur d'ordre, ce dernier en informera le donneur
d'ordre par écrit.
§ 4 Obligations de déclaration du
contractant
(1) Le contractant est tenu
d'informer immédiatement le client de toute violation des dispositions légales
relatives à la protection des données ou des accords contractuels conclus et/ou
des instructions données par le client, survenue au cours du traitement des
données par lui-même ou par d'autres personnes chargées du traitement. Il en va
de même pour toute violation de la protection des données à caractère personnel
que le preneur d'ordre traite pour le compte du donneur d'ordre.
(2) En outre, le sous-traitant
informera immédiatement le client si une autorité de contrôle intervient à
l'égard du sous-traitant conformément à l'article 58 du RGPD et si cela peut
également concerner un contrôle du traitement que le sous-traitant effectue
pour le compte du client.
(3) Le contractant est conscient
du fait que le client peut être soumis à une obligation de notification
conformément aux articles 33 et 34 du RGPD, qui prévoit une notification à
l'autorité de contrôle dans les 72 heures suivant la prise de connaissance. Le
contractant soutiendra le client dans la mise en œuvre des obligations de
notification. Le sous-traitant notifiera notamment au client tout accès non
autorisé à des données à caractère personnel traitées pour le compte du client,
et ce immédiatement après avoir pris connaissance de cet accès. La notification
du sous-traitant au client doit notamment contenir les informations suivantes :
-une description de la nature
de la violation des données à caractère personnel, en précisant si possible les
catégories et le nombre approximatif de personnes concernées, les catégories
concernées et le nombre approximatif d'enregistrements de données à caractère
personnel concernés ;
-une description des mesures prises
ou proposées par le contractant pour remédier à la violation de données à
caractère personnel et, le cas échéant, des mesures prises pour en atténuer les
effets négatifs potentiels.
§ 5 Obligations de coopération du
contractant
(1) Le contractant assiste le
client dans son obligation de répondre aux demandes d'exercice des droits des
personnes concernées conformément aux articles 12 à 23 du RGPD. Les
dispositions du point 12 du présent contrat s'appliquent.
(2. Le contractant participe à
l'établissement des listes d'activités de traitement par le client. Il doit
communiquer au donneur d'ordre, de manière appropriée, les informations
nécessaires à cet effet.
(3) Le sous-traitant aide le
client, compte tenu de la nature du traitement et des informations dont il
dispose, à respecter les obligations visées aux articles 32 à 36 du RGPD.
§ 6 Pouvoirs de contrôle
(1) Le donneur d'ordre a le droit
de contrôler dans la mesure nécessaire le respect des dispositions légales
relatives à la protection des données et/ou le respect des dispositions
contractuelles convenues entre les parties et/ou le respect des instructions du
donneur d'ordre par le preneur d'ordre.
(2) Le contractant est tenu de
fournir des informations au client dans la mesure où cela est nécessaire à
l'exécution du contrôle visé au paragraphe 1.
(3) Le donneur d'ordre peut,
après notification préalable et dans un délai raisonnable, procéder au contrôle
visé au paragraphe 1 dans les locaux du preneur d'ordre pendant les heures de
bureau habituelles. Le donneur d'ordre veillera à ce que les contrôles ne
soient effectués que dans la mesure nécessaire afin de ne pas perturber de
manière disproportionnée le fonctionnement de l'entreprise du preneur d'ordre
par ces contrôles. Les parties partent du principe qu'un contrôle est
nécessaire au maximum une fois par an. Tout autre contrôle doit être justifié
par le donneur d'ordre en indiquant le motif. En cas de contrôles sur place, le
donneur d'ordre remboursera au preneur d'ordre les dépenses occasionnées, y
compris les frais de personnel pour l'encadrement et l'accompagnement des
personnes chargées des contrôles sur place, dans une mesure raisonnable. Les
bases de calcul des coûts seront communiquées au donneur d'ordre par le preneur
d'ordre avant la réalisation du contrôle.
(4) Au choix du contractant, la
preuve du respect des mesures techniques et organisationnelles peut également
être apportée, au lieu d'un contrôle sur place, par la présentation d'un
certificat approprié et actuel, de rapports ou d'extraits de rapports d'instances
indépendantes (par ex. commissaire aux comptes, audit, délégué à la protection
des données, service de sécurité informatique, auditeurs de protection des
données ou auditeurs de qualité) ou d'une certification appropriée, si le
rapport d'audit permet raisonnablement au client de s'assurer du respect des
mesures techniques et organisationnelles conformément à l'annexe 3 du présent
contrat. Si le client a des doutes fondés quant à l'adéquation du document
d'audit au sens de la première phrase, un contrôle sur place peut être effectué
par le client. Le donneur d'ordre est conscient qu'un contrôle sur place dans
les centres de calcul n'est pas possible ou seulement dans des cas
exceptionnels et justifiés.
(5) En cas de mesures prises par
l'autorité de surveillance à l'encontre du donneur d'ordre au sens de l'article
58 du RGPD, le sous-traitant est tenu de fournir au donneur d'ordre les
informations nécessaires, notamment en ce qui concerne les obligations
d'information et de contrôle, et de permettre à l'autorité de surveillance
compétente de procéder à un contrôle sur place. Le donneur d'ordre doit être
informé des mesures prévues par le sous-traitant.
(6) Les parties conviennent que
les mesures de contrôle lors d'un traitement de données à caractère personnel
sur des postes de travail mobiles afin de préserver les droits de la
personnalité d'autres personnes à ces postes de travail mobiles s'effectuent en
premier lieu par un contrôle de la garantie des mesures à prendre par le
mandataire conformément au point 8, alinéas 2 et 3. En fonction des
circonstances, le mandant doit également être en mesure de faire contrôler par
le mandataire le poste de travail mobile des employés.
§ 7 Relations de sous-traitance
(1. Le contractant est autorisé à
faire appel aux sous-traitants indiqués à l'annexe 2 du présent contrat pour le
traitement de données en sous-traitance. Le changement de sous-traitant ou le
recours à d'autres sous-traitants est autorisé dans les conditions visées au
paragraphe 2.
(2) Le sous-traitant doit choisir
le sous-traitant avec soin et vérifier, avant de le mandater, que celui-ci est
en mesure de respecter les accords conclus entre le client et le sous-traitant.
Le sous-traitant doit notamment contrôler au préalable et régulièrement pendant
la durée du contrat que le sous-traitant a pris les mesures techniques et
organisationnelles nécessaires à la protection des données à caractère
personnel conformément à l'article 32 du RGPD. En cas de changement prévu d'un
sous-traitant ou de commande prévue d'un nouveau sous-traitant, le
sous-traitant en informera le client par écrit en temps utile et au plus tard 4
semaines avant le changement ou la nouvelle commande ("information").
Le donneur d'ordre a le droit de s'opposer par écrit au changement ou à la
nouvelle mission du sous-traitant, en indiquant les motifs, dans un délai de
trois semaines à compter de la réception de l'"information".
L'opposition peut être retirée à tout moment par le donneur d'ordre sous forme
de texte. En cas d'opposition, le sous-traitant peut résilier le contrat avec
le client avec un préavis d'au moins 14 jours avant la fin d'un mois civil. Le
preneur d'ordre tiendra compte des intérêts du donneur d'ordre lors de la
fixation du délai de préavis. En l'absence d'objection de la part du client
dans un délai de trois semaines à compter de la réception de
l'"information", le client est réputé avoir accepté le changement ou
la nouvelle sous-traitance du sous-traitant concerné.
(3) Le contractant est tenu de se
faire confirmer par le sous-traitant que celui-ci a désigné un délégué à la
protection des données conformément à l'article 37 du RGPD, dans la mesure où
le sous-traitant est légalement tenu de désigner un délégué à la protection des
données.
(4) Le contractant doit veiller à
ce que les règles convenues dans le présent contrat et, le cas échéant, les
instructions complémentaires du client s'appliquent également au sous-traitant.
(5) Le sous-traitant doit
conclure avec le sous-traitant un contrat de sous-traitance répondant aux
conditions de l'article 28 du RGPD. En outre, le sous-traitant doit imposer au
sous-traitant les mêmes obligations en matière de protection des données à caractère
personnel que celles définies entre le client et le sous-traitant. Une copie du
contrat de sous-traitance doit être transmise au donneur d'ordre sur demande.
(6) Le contractant est notamment
tenu de s'assurer, par des dispositions contractuelles, que les pouvoirs de
contrôle (point 9 du présent contrat) du client et des autorités de
surveillance s'appliquent également au sous-traitant et que les droits de contrôle
correspondants du client et des autorités de surveillance sont convenus. Il
convient en outre de régler contractuellement le fait que le sous-traitant doit
se soumettre à ces mesures de contrôle et à d'éventuelles inspections sur
place.
(7. Ne sont pas considérés comme
des relations de sous-traitance au sens des paragraphes 1 à 6 les services que
le contractant demande à des tiers à titre purement accessoire pour exercer son
activité commerciale. Il s'agit par exemple des services de nettoyage, des
services de télécommunication purs sans lien concret avec les prestations que
le contractant fournit au client, des services postaux et de courrier, des
services de transport, des services de surveillance. Le contractant est
néanmoins tenu de veiller à ce que des précautions appropriées et des mesures
techniques et organisationnelles soient prises pour garantir la protection des
données à caractère personnel, même dans le cas de services accessoires fournis
par des tiers. La maintenance et l'entretien de systèmes informatiques ou
d'applications constituent une relation de sous-traitance et de traitement des
commandes soumise à autorisation au sens de l'article 28 du RGPD si la
maintenance et le contrôle concernent de tels systèmes informatiques qui sont
également utilisés dans le cadre de la fourniture de prestations au client et
si, lors de la maintenance, il est possible d'accéder à des données à caractère
personnel qui sont traitées pour le compte du client.
§ 8 Obligation de confidentialité
(1. Lors du traitement de données
pour le compte du client, le contractant est tenu de respecter la
confidentialité des données qu'il reçoit ou dont il prend connaissance dans le
cadre de la mission.
(2) Le contractant a familiarisé
ses employés avec les dispositions relatives à la protection des données qui
les concernent et les a obligés à respecter la confidentialité.
(3. L'engagement des travailleurs
visés au paragraphe 2 doit être prouvé sur demande du pouvoir adjudicateur.
§ 9 Respect des droits des
personnes concernées
(1) Le client est seul
responsable du respect des droits des personnes concernées. Le sous-traitant
est tenu d'assister le client dans son obligation de traiter les demandes des
personnes concernées conformément aux articles 12 à 23 du RGPD. Le prestataire
doit notamment veiller à ce que les informations nécessaires à cet égard soient
communiquées sans délai au client, afin que celui-ci puisse notamment remplir
ses obligations au titre de l'article 12, paragraphe 3 du RGPD.
(2) Dans la mesure où une
collaboration du sous-traitant est nécessaire pour la défense des droits des
personnes concernées - en particulier pour l'accès, la rectification, le
blocage ou l'effacement - par le client, le sous-traitant prendra les mesures nécessaires
selon les instructions du client. Dans la mesure du possible, le fournisseur
aidera le client à remplir son obligation de répondre aux demandes d'exercice
des droits des personnes concernées en prenant des mesures techniques et
organisationnelles appropriées.
(3) Il n'est pas dérogé aux
dispositions relatives à une éventuelle rémunération des dépenses
supplémentaires occasionnées par les prestations de coopération en rapport avec
l'exercice des droits des personnes concernées vis-à-vis du donneur d'ordre par
le preneur d'ordre.
§ 10 Obligation de garder le
secret
(1) Les deux parties s'engagent à
traiter toutes les informations qu'elles reçoivent dans le cadre de l'exécution
du présent contrat de manière confidentielle, sans limite de temps, et à ne les
utiliser que pour l'exécution du contrat. Aucune partie n'est autorisée à
utiliser tout ou partie de ces informations à d'autres fins que celles qui
viennent d'être mentionnées ou à rendre ces informations accessibles à des
tiers.
(2) L'obligation susmentionnée ne
s'applique pas aux informations dont il est prouvé que l'une des parties les a
obtenues de tiers sans être tenue au secret ou qui sont de notoriété publique.
§ 11 Rémunération
Les éventuelles dispositions
relatives à la rémunération des prestations doivent faire l'objet d'un accord
séparé entre les parties.
§ 12 Mesures techniques et
organisationnelles pour la sécurité des données
(1) Le contractant s'engage
envers le client à respecter les mesures techniques et organisationnelles
nécessaires au respect des dispositions applicables en matière de protection
des données. Cela comprend notamment les prescriptions de l'article 32 du RGPD.
(2) L'état des mesures techniques
et organisationnelles existant au moment de la conclusion du contrat est joint
en annexe 3 au présent contrat. Les parties conviennent que des modifications
des mesures techniques et organisationnelles peuvent être nécessaires pour
s'adapter aux conditions techniques et juridiques. Les modifications
importantes susceptibles d'affecter l'intégrité, la confidentialité ou la
disponibilité des données à caractère personnel feront l'objet d'une
concertation préalable entre le contractant et le client. Les mesures qui
n'impliquent que des modifications techniques ou organisationnelles mineures et
qui n'ont pas d'impact négatif sur l'intégrité, la confidentialité ou la
disponibilité des données à caractère personnel peuvent être mises en œuvre par
le sous-traitant sans concertation avec le client. Le donneur d'ordre peut
demander une fois par an ou à des occasions justifiées une version actualisée
des mesures techniques et organisationnelles prises par le preneur d'ordre.
§ 13 Durée de la mission
(1) Le contrat prend effet à la
signature et se poursuit pendant la durée du contrat principal existant entre
les parties concernant l'utilisation des services du contractant par le client.
(2) Le client peut résilier le
contrat à tout moment et sans préavis en cas de violation grave par le
contractant des dispositions applicables en matière de protection des données
ou des obligations découlant du présent contrat, si le contractant ne peut ou
ne veut pas exécuter une instruction du client ou si le contractant refuse
l'accès du client ou de l'autorité de contrôle compétente en violation du
contrat.
§ 14 Fin
(1) Après la fin du contrat, le
contractant doit, au choix du client, restituer à ce dernier tous les
documents, données et résultats de traitement ou d'utilisation créés qui sont
entrés en sa possession et qui sont en rapport avec la relation contractuelle,
ou les effacer. L'effacement doit être documenté de manière appropriée.
(2. Le contractant est autorisé à
conserver les données à caractère personnel traitées dans le cadre de la
commande au-delà de la fin du contrat si et dans la mesure où le contractant
est soumis à une obligation légale de conservation. Dans ces cas, les données
ne peuvent être traitées qu'aux fins de la mise en œuvre des obligations
légales de conservation respectives. Après l'expiration de l'obligation de
conservation, les données doivent être immédiatement effacées.
§ 15 Droit de rétention
Les parties conviennent que
l'exception du droit de rétention par le preneur d'ordre au sens de l'article
273 du Code civil allemand est exclue en ce qui concerne les données traitées
et les supports de données correspondants.
§ 16 Dispositions finales
(1) Si la propriété du donneur
d'ordre chez le preneur d'ordre est menacée par des mesures prises par des
tiers (par exemple par une saisie ou une confiscation), par une procédure
d'insolvabilité ou par d'autres événements, le preneur d'ordre doit en informer
le donneur d'ordre sans délai. Le preneur d'ordre informera immédiatement les
créanciers du fait qu'il s'agit de données traitées dans le cadre de la
commande.
(2) La forme écrite est requise
pour les conventions annexes.
(3) Si certaines parties du
présent contrat devaient être invalides, cela n'affecterait pas la validité des
autres dispositions du contrat.
